Phoenix Energy One, LLC (“Phoenix Energy” or the “Company”) conducts offerings of debt securities pursuant to (i) an exemption from registration under Rule 506(c) of Regulation D (“Private Placement Offerings”) of the Securities Act of 1933, as amended (the “Securities Act”) and (ii) an effective registration statement on Form S-1 under the Securities Act (including a prospectus) filed with the SEC (the “Registered Offering”). In addition, Adamantium Capital, LLC, a wholly owned financing subsidiary of the Company, conducts offerings of debt securities pursuant to the exemption from registration provided by Rule 506(c) of Regulation D and loans the proceeds of such offerings to Phoenix Energy (the “Adamantium Offering,” and together with the Registered Offering and the Private Placement Offerings, the “Offerings”).
